- Nvidia, AMD and Broadcom indicate interest in purchasing up to $5B of common stock as cornerstone investors
US tech giant Meta Platforms announced a financing plan totaling approximately $95 billion on Monday to fund its investments in artificial intelligence infrastructure and personal superintelligence.
The plan comprises $35 billion in concurrent underwritten public offerings launched on Monday alongside a future $60 billion at-the-market equity program, the company said in a statement.
The initial $35 billion public offerings consist of $22.5 billion in Class A common stock under forward sale agreements and $12.5 billion in series A depositary shares representing mandatory convertible preferred stock.
Meta plans to launch the remaining $60 billion at-the-market program in the first quarter of 2027 once its previously announced Class C common stock begins trading.
The company also expects to grant underwriters a 30-day option to purchase up to an additional 37.5 million depositary shares and up to $3.375 billion in additional Class A common stock.
Chipmakers Nvidia, Advanced Micro Devices and Broadcom have indicated non-binding interest as cornerstone investors in purchasing up to an aggregate of $5 billion of the Class A common stock offering.
Meta said it intends to use the net proceeds from the offerings for general corporate purposes as it expands its computing capacity and data center infrastructure.
The company projects capital expenditures of $135 billion to $145 billion in 2026 and is on track to nearly double its total infrastructure capacity this year on an annual basis.
Meta currently owns data centers in 23 US states and is building four superclusters with more than one gigawatt of capacity each.
The tech company reported that its third-quarter 2026 revenue rose 26% year-over-year to $64.6 billion, while net income reached $9.9 billion.
Meta generated $97 billion in operating cash flow during the first three quarters of 2026 and held about $82 billion in cash, cash equivalents and marketable securities at the end of September.
As of September, 3.64 billion people used at least one of Meta's apps daily, including Facebook, Instagram, Messenger and WhatsApp, while its Muse platform onboarded more than 10 million users in the US and Canada.
